Additional Information

The current arrangements for oversight of Executive remuneration packages need strengthened so that ordinary shareholders are better able to hold executives to account for the level of remuneration.

Specific suggestions include:

A requirement to publish total projected remuneration of executives for the coming year based on expected business outcomes
A requirement to publish actual remuneration of executives as a multiple of average remuneration for all non executive employees
A requirement to have at least one shareholder and one employee representative on remuneration committees
A change to voting rules to give each shareholder an equal vote (rather than each share) in voting resolutions at the company AGM, improving the oversight of ordinary shareholders and reducing the unaccountable influence of institutional shareholders who themselves do not by and large canvas the views of the ultimate beneficial owners of the shares before casting their votes
