corporate governance to require good corporate citizenship, including sustainability & responsibility to all stakeholders
In drafting the next corporate government legislation, could good corporate citizenship be made a requirement for all public companies?
Under the 'comply or explain' method of governance, as in King III, this would require, under penalty of criminal law, directors to ensure that companies act in the interests of the public, not just their shareholders or customers.
If this were taken seriously, it would make many poor practices, such as excessive payments for directors, poor environmental sustainability, lack of transparency and accountability to the public unsustainable and illegal.
